Since Gmail supports IMAP, I solved a similar problem by getting all my old
mail into a format readable by Thunderbird. IIRC, the mail wound up living
as folders in the "Local Folders" Thunderbird "account". I also had a
second account in Thunderbird, this one configured to access Gmail via IMAP.
With such a setup, moving the old mail to Gmail for archival was as simple
as drag-n-dropping mail between those two Thunderbird accounts.
This probably doesn't meet your "doesn't send email out" criteria, but I
figured I'd share the information anyway in case you reconsider.
